That's an easy decision in my mind. I'd take the Heatley one. Think about it this way- in both deals you lose osgood and gain brodeur. However, in the first deal you lose alfredsson as well. In the second deal you can keep alfredsson, trade carter and havlat, and gain heatley. Heatley is the same if not better than carter. and I'd rather lose havlat and keep alfredsson.
Those are garbage trades if you're offering them (I'd slap you), but if they are being offered to you then the other dude is an idiot so take it.
